1. Acceptance of Terms
By accessing or using the services provided by Cybervision Systems LLC ("Company," "we," "our," or "us"), including CyberVault, Tremor (Tremor by CyberVision), and CyberKey and their websites, web panels, browser extensions, and mobile applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.
Tremor is a platform for decision-making exercises under pressure (tabletop exercises), such as cyber crises. CyberVault is a password manager, and CyberKey is a privileged access management solution.
The use of our downloadable software is also governed by our End User License Agreement (EULA). If you or your organization have signed a separate agreement with us, with a local CyberVision entity, or with an authorized reseller, that agreement prevails over these Terms where they conflict.

7. Privacy and Data Processing
7.1 Privacy Policy — Our Privacy Policy explains how we collect, use, and protect your information. By using our Services, you agree to our Privacy Policy.
7.2 Roles and Data Processing Agreement — When an organization uses Tremor, the CyberVault business edition, or CyberKey, the organization is the controller of the personal data it places in the Services, and we are its processor (service provider). We process that data only to provide the Services and under the organization's instructions. We offer a data processing agreement (DPA) to customers; request it at [email protected].
7.3 Data Residency — Tremor customer data is stored in the hosting region of the customer's country. One region may serve several Latin American countries when the customer agrees. AI features involve the international transfers described in our Privacy Policy.
7.4 Support Access — CyberVision support staff, or the staff of your reseller, can view the content of Tremor exercises only with the authorization of your organization's administrator, for a limited time, and with a record in the audit log.
8. Tremor: Customer Obligations
An organization that uses Tremor agrees to:
- Have a legal basis to include each participant in the exercises and inform them about the processing of their data, including the use of AI
- Not place real personal data, real secrets, or sensitive personal data in scenarios or responses; scenarios must use fictional information
- Not use the exercises to harass participants or to evaluate them in a punitive way; exercises are a training tool
- Review AI-generated scores, evaluations, and reports before relying on them
9. Disclaimers
9.1 "AS IS" Basis — THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Guarantee — We do not guarantee that the Services will be uninterrupted, secure, error-free, meet your specific requirements, be free from harmful components, or produce specific results.
9.3 Exercises and AI-Generated Content — Tremor exercises contain simulated content, and scenarios, character conversations, grading, and reports may be generated by AI and may contain errors. They are training material and do not constitute legal, regulatory, or other professional advice.
9.4 Regulations and Regulatory Deadlines — The regulations, notification deadlines, and regulatory clocks shown in Tremor (for example, those of the ANPD, SIC, ANCI, CNBV, or BCRA) are training references, not legal advice. They may be incomplete or out of date, and your organization's legal team must confirm which rules and deadlines apply in each case.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYBERVISION SYSTEMS LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, DATA, OR USE, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
Nothing in these Terms limits rights that you have under consumer protection laws that cannot be waived by contract.
11. Termination and Account Deletion
11.1 By You — You may delete your account at any time in the app, on the web panel or portal, or by email. The steps, and what is deleted and what is kept, are described in the "Deleting Your Account" section of our Privacy Policy. Deletion through the web panel, portal, or app is immediate and cannot be undone.
11.2 By Us — We may suspend or terminate your access immediately, without notice, for violation of these Terms, fraudulent or illegal activities, extended inactivity, or technical/security reasons.
11.3 End of a Customer Contract — Before the contract ends, the organization may export its data. After the contract ends, the organization's data is deleted within 30 days. During that period, the organization may withdraw the cancellation request.
12. Governing Law and Dispute Resolution
12.1 Governing Law — These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law provisions.
12.2 Arbitration Agreement — Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, unless the mandatory laws of your country of residence provide otherwise.
12.3 Class Action Waiver — To the extent permitted by law, you agree to resolve disputes individually and waive the right to participate in class actions or class arbitrations.
12.4 Mandatory Local Law and Local Contracts — Sections 12.1 to 12.3 do not apply where the consumer protection or public policy laws of your country (for example, Brazil) give you rights or a forum that cannot be waived. If you contracted through a local CyberVision entity or under a local contract, the governing law and forum of that contract prevail.
13. Changes and Language
We may update these Terms. When we make material changes, we will update the date at the top and notify you through the Services or by email. These Terms are available in English, Portuguese, Spanish, and French. If there is any conflict, the English version prevails, except where applicable law requires otherwise. In Québec, the French version is provided first and prevails.
