This End User License Agreement ("Agreement") is between you ("User" or "you") and Cybervision Systems LLC ("Company," "we," "our," or "us") and governs your use of the Company software listed in Section 1 (the "Software").
Company Name: Cybervision Systems LLC
Address: 2122 NW 158th Ln, Pembroke Pines, Florida 33028, United States
Email: [email protected]
BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
1. Software Covered
This Agreement applies to the following Software, including updates and new versions:
- CyberVault — the password manager mobile applications for iOS and Android and the browser extensions for Google Chrome, Microsoft Edge, and Apple Safari, in both the personal and the business editions
- Tremor (Tremor by CyberVision) — the participant mobile application for iOS and Android used in decision-making exercises under pressure (tabletop exercises), such as cyber crises
- CyberKey — the browser extension and the components installed in a customer's environment, such as the CyberKey proxy
Your use of the related online services is also governed by our Terms of Service and our Privacy Policy. If you or your organization have signed a separate agreement with us, with a local CyberVision entity, or with an authorized reseller covering the Software, that agreement prevails over this Agreement where they conflict.
2. License Grant
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices that you own or control: (a) for your personal use, in the case of the CyberVault personal edition; or (b) for the internal business purposes of the organization that gave you access, in all other cases.
3. Accounts and Organization Access
- CyberVault accounts are created on the CyberVault web panel. The mobile applications and browser extensions are used to access an existing account.
- Tremor is available by invitation only. Your organization, or a reseller acting on its behalf, creates your access; there is no open sign-up.
- CyberKey is deployed by and for an organization. Your access, roles, and permissions are defined by that organization's administrators.
When you use the Software through an organization (for example, the CyberVault business edition, Tremor, or CyberKey), that organization controls your access. Its administrators may grant, approve, limit, or revoke your access; may review audit records such as sign-in events, item-view events, recorded sessions, exercise responses, and reports; and may ask us to delete your organization account. Your organization is responsible for informing you about how it uses this information.
4. Your Security Responsibilities
4.1 Master password and recovery key (CyberVault) — CyberVault uses a zero-knowledge, end-to-end encrypted design. Your master password never leaves your device, and we cannot read, reset, or recover it. When you create your account, a recovery key is generated; it is the only way to regain access if you lose your master password. You are responsible for keeping your master password and recovery key safe. If you lose both, your vault data cannot be recovered by you or by us.
4.2 Devices and credentials — You are responsible for the security of the devices on which you install the Software, for keeping the Software and your operating system up to date, and for all activity under your credentials. Notify us or your organization administrator immediately of any unauthorized use.
5. Device Permissions
The Software asks for device permissions only to provide its features. You can deny or withdraw a permission in your device settings; the related feature will then not be available.
- Camera (CyberVault) — used only to read the QR code shown when you turn on two-factor authentication for a service. Camera frames are processed on your device and are never recorded or uploaded.
- Biometrics (CyberVault and Tremor) — Face ID, Touch ID, or fingerprint unlock is optional and handled by your device's operating system. We never receive your biometric data.
- Microphone (Tremor) — used only during exercise calls, to talk with the scenario characters.
- Notifications and calls (Tremor) — used to deliver exercise items and to ring you for exercise calls. On iPhone, calls arrive through PushKit and appear on the system call screen (CallKit). On Android, calls use a full-screen notification and a foreground service that stays active only during the call.
- Vibration and ringtone (Tremor) — used while an exercise call is waiting to be answered.
6. Tremor Exercises and AI Features
6.1 Simulated content — Tremor exercises contain fictional calls, messages, emails, news, and social media posts attributed to simulated regulators, journalists, attackers, and other characters. This content is part of a training exercise and does not describe real events. Do not treat it as real, and do not forward it outside the exercise.
6.2 AI characters and processing — Exercise calls are voice conversations with characters generated by artificial intelligence: both what the character says and the transcription of what you say are produced by AI. The character speaks with a synthetic voice chosen from a catalog; we do not clone the voices of real people. During the call, the audio passes through our voice server and our transcription provider, and it is not recorded or stored. Call transcripts, your responses, and your activity in the exercise are recorded and made available to your organization and to the exercise facilitator. The AI providers are named in our Privacy Policy.
6.3 AI-generated output — Scenarios, grading, and reports may be generated or assisted by AI and may contain errors or omissions. They are training material and do not constitute legal, regulatory, compliance, or other professional advice. Regulations and notification deadlines shown in exercises are training references that your organization's legal team must confirm. AI-generated scores are reviewed by a person, and you may ask for a human review. Your organization remains responsible for its decisions and for reviewing these outputs.
7. License Restrictions
You agree NOT to:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits it despite this restriction
- Remove or alter any proprietary notices
- Rent, lease, lend, sell, sublicense, or redistribute the Software
- Circumvent, disable, or test the security, access controls, or approval workflows of the Software without our written permission
- Access accounts, vaults, sessions, or data that you are not authorized to access
- Use the Software for illegal purposes, or to store or transmit content you have no right to use
- Upload viruses or malicious code, or interfere with or disrupt the Software or the related services
8. Fees and Purchases
The mobile applications and browser extensions are free to download and do not offer in-app purchases. Paid editions and subscriptions are contracted directly with us or through an authorized reseller, outside the app stores, and are governed by the Terms of Service or by the applicable order or agreement. Apple and Google do not process payments for the Software and are not responsible for refunds.
9. Updates
We may provide updates, patches, and new versions, some of which may be installed automatically or be required to keep using the Software, particularly for security reasons. We may change or discontinue features. This Agreement applies to all updates unless they come with a different agreement.
10. Third-Party Components and Services
The Software includes open-source components licensed under their own terms, which are made available with the Software. The Software also relies on third-party services, such as push notification, voice communication, and AI providers, that are operated under their own terms and our agreements with them.
11. Intellectual Property Rights
The Software is licensed, not sold. It is owned by Cybervision Systems LLC and protected by U.S. and international copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved. If you send us feedback or suggestions, we may use them without any obligation to you.
12. Apple-Specific Terms
If you obtained the Software from the Apple App Store:
12.1 Acknowledgment — This Agreement is between you and Cybervision Systems LLC only, not Apple. We, not Apple, are solely responsible for the Software and its content.
12.2 Scope of License — The license granted to you is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the Software may also be accessed by other accounts associated with you through Family Sharing or volume purchasing.
12.3 Maintenance and Support — We provide all maintenance and support. Apple has no obligation to provide maintenance or support for the Software.
12.4 Warranty — We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the Software fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Software.
12.5 Product Claims — We, not Apple, are responsible for addressing any claims relating to the Software, including product liability claims, claims that the Software fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation.
12.6 Intellectual Property Claims — We, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of any third-party claim that the Software or your possession and use of it infringes that third party's intellectual property rights.
12.7 Legal Compliance — You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
12.8 Third-Party Terms — You must comply with applicable third-party terms of agreement when using the Software.
12.9 Third-Party Beneficiary — Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance, Apple will have the right to enforce it against you.
13. Google Play and Browser Extension Stores
If you obtained the Software from Google Play, the Chrome Web Store, or Microsoft Edge Add-ons, this Agreement is between you and Cybervision Systems LLC only. Google and Microsoft are not responsible for the Software or for its support, and your use of those stores is also subject to their terms.
14. Export Controls
The Software uses encryption and may be subject to U.S. export control and sanctions laws. You agree not to export, re-export, or use the Software in violation of those laws.
15. Disclaimers
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL PREVENT EVERY SECURITY INCIDENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE PAST 12 MONTHS OR $100 USD, WHICHEVER IS GREATER.
Nothing in this Agreement limits rights that you have under consumer protection laws that cannot be waived by contract.
17. Termination
This Agreement remains in effect until terminated. We may terminate your license immediately if you violate this Agreement. Your license also ends when your account is deleted or when your organization ends your access. Upon termination, you must stop using and delete the Software. How to delete your account, with or without the app, and what data is retained are described in the "Deleting Your Account" section of our Privacy Policy.
18. Governing Law
This Agreement is governed by the laws of the State of Florida, United States, without regard to conflict of law provisions. Disputes shall be resolved through binding arbitration, except small claims and intellectual property disputes, unless the mandatory laws of your country of residence provide otherwise. If you contracted through a local CyberVision entity or under a local contract, the governing law and forum of that contract prevail.
19. Changes and Language
We may update this Agreement. When we make material changes, we will update the date at the top and notify you through the Software or by email. Continued use after the changes take effect constitutes acceptance. This Agreement is available in English, Portuguese, Spanish, and French. If there is any conflict, the English version prevails, except where applicable law requires otherwise. In Québec, the French version is provided first and prevails.
